Articles of Incorporation
The undersigned, being of the age of eighteen years or
more, does hereby make and acknowledge these Articles of
Incorporation for the purpose of forming a non-profit corporation
under the laws of the State of South Carolina.
Article I
The name of the corporation is the South Carolina Association
of Student Financial Aid Administrators, Inc.
Article
II
The period of duration of the corporation shall be perpetual.
Article
III
The purposes for which the corporation is organized are:
- To promote the professional competency and association
of persons involved in student financial aid to post-secondary
educational institutions, banks, gevernment agencies,
foundations, and other associated with private and community
organizations concerned with the support and administration
of student financial aid programs.
- To assist educational institutions, banks, foundations,
government agencies, and private and community organizations
to promote and develop effective programs pertinent to
student financial aid.
- To promote interchange of information between educational
institutions and sponsors of student financial aid funds
through an exchange of ideas, information, and experiences.
- To promote such conferences and other related activities
as may be desirable or required to fulfill the purpose
of this organization.
Article
IV
- The corporation will be a membership corporation consisting
of members as defined in the Bylaws.
Article
V
Directors of the corporation shall be elected in the manner
provided by the Bylaws.
Article
VI
The address of the initial registered office of the corporation
is 66 George Street, Charleston, Charleston County, South
Carolina. And the name of its initial registered agent at
such address is John E. Burns.
Article
VII
The number of directors constituting the initial Board
of Directors shall be two and the names and addresses of
the persons who are to serve as directors until the first
meeting of the corporation, or until their successors are
elected and qualified are:

IX
- The corporation shall have all the powers granted incorporations
under the laws of the State of South Carolina. However,
notwithstanding anything herin to the contrary, the corporation
shall exercise only such powers as are in furtherance
of the exempt purposes of organizations set forth in the
subsection of Section 501(c) of the Internal Revenue Code
of 1954, under which the corporation chooses to qualify
for exemptions as the same now exists or as it may be
amended from time to time.
Article
X
In the event of the dissolution of the corporation, no
member shall be entitled to any distribution or division
of its remaining property or its proceeds, and the balance
of all money and other property received by thecorporation
from any source after the payment of all debts and obligations
of the corporation shall be used or distributed exclusively
for purposes within the intendment of Section 501(c) of
the Internal Revenue Code as the same now exists or as it
may be amended from time to time.
